Welcome to Emerald. These Terms of Service (“Terms”) explain the rules that apply when you use our website, products, and services (collectively, the “Service”).

4.1 User Content Defined

“User Content” means any content you submit, upload, post, display, or otherwise make available via the Service, including text, images, graphics, audio, video, feedback, and other materials.

4.2 Your Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

• You own your User Content or have all rights necessary to grant us the license described in these Terms; and
• Your User Content does not violate any law or the rights of any third party.

4.3 License You Grant to Emerald

By submitting User Content through the Service, you grant Emerald a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to:

• Use, host, store, reproduce, modify, adapt, translate, publish, publicly display, publicly perform, distribute, and create derivative works from your User Content;
• In connection with operating, providing, improving, and promoting the Service; and
• To develop new products and services.

8. Payments, Subscriptions, and Billing

8.1 Fees and Pricing

If you purchase a subscription, plan, or other paid feature (“Paid Services”), you agree to pay all applicable fees. Fees, pricing, and available plans will be described on the Emerald website or in the ordering process.

We may change prices and available plans from time to time. Any price changes will apply only to future billing periods and we will provide notice in advance when required by law.

8.2 Billing and Payment Methods

You must provide a valid payment method (such as a credit card or other payment method accepted by our payment provider) when you sign up for Paid Services. By providing a payment method, you authorize us (and our third-party payment processors) to charge all applicable fees to that payment method.

You are responsible for keeping your billing information accurate and up to date.

8.3 Subscriptions and Auto-Renewal

If you sign up for a subscription plan, your subscription may automatically renew at the end of each billing period, unless you cancel before the renewal date.

By enrolling, you authorize Emerald to automatically charge your payment method at the then-current subscription rate for each renewal period, unless you cancel.

8.4 Cancellation

You may cancel a subscription at any time by following the instructions on the Emerald website or in your account settings.

Cancellation will take effect at the end of your current billing period, unless otherwise stated. You will continue to have access to the Paid Services until the end of the billing period.

8.5 Refunds

Except where required by law or as stated otherwise in a specific offer, all fees are non-refundable. We may, at our discretion, issue refunds or credits on a case-by-case basis, but we are under no obligation to do so.

8.6 Taxes

Fees for Paid Services may not include applicable taxes. You are responsible for paying any taxes, levies, or duties imposed by taxing authorities (other than our income taxes), including value-added tax (VAT), sales tax, or similar taxes, as applicable.


9. Disclaimers

9.1 Service “As Is” and “As Available”

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

9.2 No Warranties

To the fullest extent permitted by law, Emerald and its affiliates, officers, employees, agents, partners, and licensors disclaim all warranties, express or implied, including:

• The amount you paid to Emerald for use of the Service during the three (3) months immediately before the event giving rise to the claim; or
• One hundred U.S. dollars (USD $100), if you have not paid Emerald for the use of the Service during that period; whichever is greater.

10.3 Basis of the Bargain

The limitations apply regardless of whether we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for certain damages; in those jurisdictions, liability will be limited to the maximum extent permitted by law.


11. Indemnification

You agree to defend, indemnify, and hold harmless Emerald and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your violation of any law or the rights of any third party.

We may assume the exclusive defense of any matter for which you are required to indemnify us.
